2.1 You must be at least 16 years old, or the minimum age required to consent to use the Services in your location, whichever is higher.
2.2 When you create an account using Google or GitHub Sign-In, you must provide accurate and current information and comply with Google's or GitHub's applicable terms. You are responsible for maintaining the security of your Google or GitHub account and devices.
2.3 Your account is for your authorized use and may not be sold, transferred, shared or made available to another person. We may restrict or terminate access where use violates law, these Terms or applicable third-party terms, or creates a security risk.
2.4 You may, in certain circumstances, wish to terminate your relationship with our Services and cancel your account. You can do so by sending an email to hellostarryy@croli.net.
You remain responsible for obligations and activity arising before cancellation. We may retain limited records as described in our Privacy Policy where required or permitted by law.
3. Fees and Third-Party Charges
3.1 The Services are provided by STARRYY without a separate service fee unless we expressly notify you otherwise before use. Certain features may require an account, subscription or usage entitlement obtained directly from a third-party provider.
3.2 You are responsible for all fees charged by a third-party Agent, model provider or other service that you select. Those fees are payable directly to that provider and are governed by its terms.
You must use your own eligible third-party account or credentials and may not pay for, resell or intermediate a third-party provider's usage for another person through the Services.
We do not collect or process payment-card information for third-party charges and are not responsible for billing disputes between you and the third-party provider.
3.3 If we later offer paid features, the applicable price, billing interval, taxes, renewal terms, cancellation method and refund rules will be presented before you are charged.
3.4 Third-party providers may impose usage limits, rate limits, geographic restrictions or other controls. You must not circumvent those controls, and we may modify or suspend an integration to comply with provider requirements.
3.5 Any future STARRYY subscription will renew only as disclosed at purchase and subject to applicable cancellation and consumer-protection requirements.
3.6 You are responsible for applicable taxes and for maintaining valid payment information if you purchase a future paid feature from STARRYY.
3.7 Nothing in these Terms limits any mandatory cancellation, refund or other consumer rights under applicable law.

4.5 If you violate these Terms, STARRYY may issue a warning, restrict functions, suspend or terminate the Services, remove unlawful or unauthorized information, lock the account, and take other reasonable measures. You may submit a complaint regarding such measures through the contact details in Section 12.6.
4.6 If we restrict, suspend or terminate access under these Terms, certain functions may be unavailable. Any refund for a paid STARRYY feature will be handled under the applicable purchase terms and mandatory consumer law; fees paid directly to a third-party provider are governed by that provider's terms.
4.7 You represent and warrant that you have all rights, authorizations and lawful bases necessary to submit or make available your Inputs to the Services and to any third-party Agent or model provider you connect, and to grant the licence in Section 5.4. This includes any personal data, confidential information, trade secrets or third-party materials contained in the workspace, files, source code or terminal output you make available. You must not make available any credential, API key, access token or private key that is not necessary for the task, and you are responsible for revoking and rotating any credential that you expose.
4.8 To the fullest extent permitted by applicable law, you will indemnify and hold harmless STARRYY and its affiliates against any third-party claim, and any resulting loss, liability, damages, fine or reasonable legal costs, arising out of your breach of Section 4.7 or your unlawful or unauthorized use of the Services. This Section does not apply to the extent the claim results from our own breach of these Terms or our failure to exercise legally required care, and does not limit any mandatory rights you have as a consumer under applicable law.
5. Intellectual Property
5.1 STARRYY and its affiliates and licensors own the Services and related software, interfaces, documentation and intellectual property, except for User Inputs, Outputs and third-party materials whose rights belong to their respective right holders.
Subject to your compliance with these Terms, we grant you a non-exclusive, limited, non-transferable, non-sublicensable and revocable right to install and use the desktop application and access the Services for your internal personal or business purposes.
5.2 The intellectual property rights in the software, technology, code, user interfaces, web pages, designs, text, images, documentation and other content provided by STARRYY belong to STARRYY or its licensors, except where applicable law or an open-source license provides otherwise.
5.3 If you have rights in your Inputs or Outputs, your use of the Services does not transfer or diminish those rights, unless otherwise agreed with you or required under applicable third-party terms.
5.4 You grant STARRYY and its service providers a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display and process your Inputs and Outputs as necessary to provide, secure, maintain and support the Services, comply with law and enforce these Terms.
6. Disclaimer of Warranty
6.1 We use reasonable measures designed to provide safe and stable Services, but do not guarantee uninterrupted or error-free operation. We may limit requests, permissions or functions where reasonably necessary for security, reliability or compliance.
6.2 The Services depend on devices, networks, operating systems and third-party services outside our control. We may change, interrupt or discontinue a feature or integration for security, legal, technical or business reasons and will provide notice where reasonably practicable and required.
6.3 Computer viruses, network failures, system maintenance, third-party outages, force majeure and other events may affect the Services. To the extent permitted by law, we do not warrant continuity, accuracy, reliability or suitability for a particular purpose.
6.4 Agent and model Outputs may be inaccurate, incomplete, outdated, biased, offensive, insecure, non-unique or subject to third-party rights or open-source license conditions. Code may contain vulnerabilities, destructive behavior, incompatible dependencies or license obligations. You must independently review, test, scan, clear and validate Outputs before using, publishing, merging or deploying them.
6.5 Outputs do not constitute legal, medical, financial or other professional advice. You are responsible for your final decisions and use of Outputs and must not rely on the Services as the sole basis for safety-critical or other high-impact decisions.
6.6 Outputs may not be unique, and different users may receive the same or similar Outputs. Content provided to another user is not your content.
7. Third Party Agents, LLMs (Large Language Models) and Services
7.1 You choose which third-party Agent, model or other service to connect and must comply with the provider's then-current terms, acceptable-use rules, account eligibility, authentication requirements, usage limits, fees and geographic restrictions. You must use your own eligible account or credentials; must not modify or interfere with the provider's software or authentication flow; and must not share or resell credentials, pay for or intermediate provider usage for another person, or circumvent provider limits or safeguards. STARRYY provides technical compatibility only and does not provide or resell the underlying Agent, model, compute, account, subscription entitlement or plugin.
A third-party provider may suspend or terminate your account, change its functionality or terms, impose rate limits or fees, or interrupt service. To the extent permitted by law, STARRYY is not liable for the provider's interruption, account restriction, fees, output or data processing, and such an event does not itself entitle you to reimbursement from STARRYY for amounts paid directly to the provider. This does not exclude responsibility for our own breach or obligations that cannot lawfully be limited.
7.2 By connecting and using a third-party Agent or model provider, you authorize and instruct STARRYY to transmit the Inputs, project context, files, commands, Outputs and other task information reasonably necessary to perform your request where the integration requires us to do so. If the connection is made directly from your device, the provider receives data directly under your account. In either case, the provider may process data in locations and under retention or use settings that it determines. Review the provider's terms and data controls before connecting it.
8. Limitations on Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for willful misconduct or gross negligence, or for any other liability that cannot lawfully be excluded or limited. The limitations in this Section apply only to the extent permitted by applicable law and do not affect any mandatory rights you have as a consumer in your country of habitual residence.
9. Dispute
9.1 These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules.
9.2 You and STARRYY agree that disputes must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, and representative actions are prohibited. Only individual relief is available.
9.3 Subject to Section 9.4, you and STARRYY agree that the courts of Singapore have exclusive jurisdiction over any dispute, claim or matter arising out of or in connection with these Terms or the Services.
9.4 If you are a consumer, Sections 9.1 to 9.3 do not deprive you of the protection of the mandatory laws of your country of habitual residence, and do not affect any right you may have to bring proceedings before the courts of that country or to rely on its mandatory consumer protection rules.

- (4) Preliminary evidence of the infringement of the legitimate rights and interests of the right holder.
11. Regulatory Compliance and Cooperation
You acknowledge and agree that we have the right to restrict or freeze your account in compliance with applicable laws or regulatory requests, which may render your account inaccessible. If additional verification is required, you agree to fully cooperate.
If requested by regulators, law enforcement, or in connection with a legal dispute involving your account, we may provide relevant account information to such authorities, as permitted or required by applicable law.

If a particular Term or portion of these Terms is not valid or enforceable, this will have no effect on any other Terms.

Any delay or failure on our part to enforce a provision of these Terms is not a waiver of our right to enforce them later.
